Terms and Conditions for Shaadi Partners

Shaadi Partners ("we", "our", "us") is a wedding portal that connects wedding clients to their required vendors. Our services include the Shaadi Partners website located at shaadipartners.com and any other feature, content, or applications offered from time to time in connection with the Shaadi Partners website (collectively, the "Shaadi Partners Services"). These Terms and Conditions ("Agreement") set forth the legally binding terms for your use of the Shaadi Partners Services. By using the Shaadi Partners Services, whether as a "Visitor" (simply browsing the Shaadi Partners website) or as a "User" (registered with and/or submitted content to the Shaadi Partners website), you agree to be bound by this Agreement and the Shaadi Partners Privacy Policy located at www.shaadipartners.com/privacy.

1. Agreement to Terms

By using the Shaadi Partners Services, you agree to comply with and be legally bound by the terms and conditions of this Agreement. If you do not agree to these terms, you must discontinue use of the Shaadi Partners Services immediately. Shaadi Partners may modify this Agreement from time to time and each modification will be effective when it is posted on the Shaadi Partners website. Your continued use of the Shaadi Partners Services following the posting of any modifications to this Agreement constitutes acceptance of those changes.

2. Eligibility

By using the Shaadi Partners Services, you represent and warrant that you have the right, authority, and capacity to enter into and abide by all of the terms and conditions of this Agreement. You must be at least 18 years old to use the Shaadi Partners Services. Use of the Shaadi Partners Services is void where prohibited.

3. User Content

Shaadi Partners does not claim any ownership rights in the text, files, images, photos, video, sounds, musical works, works of authorship, or any other materials (collectively, "User Content") that you upload to, submit to, or embed on the Shaadi Partners platform. However, by uploading, submitting, or embedding User Content on the Shaadi Partners Services, you grant Shaadi Partners a non-exclusive, royalty-free, transferable, sublicensable, worldwide license to use, display, reproduce, adapt, modify, rearrange, and distribute your User Content through any media now known or developed in the future. This license will terminate when you remove your User Content from the Shaadi Partners Services, except as to any User Content that Shaadi Partners has sublicensed prior to your removal of your User Content, which license shall continue in perpetuity.

4. Prohibited Content

Shaadi Partners reserves the right to remove any User Content without notice or liability to you if it determines that such content is inappropriate. Inappropriate content includes, but is not limited to, content that:

• Criticizes a business or individual beyond merely offering an opinion
• Harasses or advocates harassment of another person
• Exploits people in a sexual or violent manner
• Contains nudity, violence, or offensive subject matter
• Contains racially, ethnically, or otherwise objectionable language
• Is libelous, defamatory, or otherwise tortious language
• Solicits personal information from anyone under 18
• Promotes false or misleading information
• Involves the transmission of "junk mail," "chain letters," or unsolicited mass mailing
• Furthers or promotes any criminal activity
• Solicits passwords or personal identifying information for commercial or unlawful purposes

5. Prohibited Activity

You agree not to engage in any of the following prohibited activities:

• Copying, modifying, translating, publishing, broadcasting, transmitting, licensing, sublicensing, assigning, distributing, performing, displaying, or selling any Third Party Content or Shaadi Partners Content appearing on or through the Shaadi Partners Services
• Engaging in criminal or tortious activity
• Using any automated system, such as scripts, to add friends or send comments or messages
• Interfering with, disrupting, or creating an undue burden on the Shaadi Partners Services or networks connected to the Shaadi Partners Services
• Impersonating another User, person, or representative of Shaadi Partners
• Using the account, username, or password of another User at any time
• Selling or otherwise transferring your profile without our permission
• Using any information obtained from the Shaadi Partners Services to harass, abuse, or harm another person
• Using the Shaadi Partners Services in a manner inconsistent with any and all applicable laws and regulations

6. Vendor Content and Listings

Vendors listed on Shaadi Partners create their profiles and ensure the information provided is accurate. Vendors are responsible for any misrepresentation and liable for any content posted. Shaadi Partners does not verify the accuracy of vendor profiles, prices, or reviews.

7. Reviews

Reviews on vendor profiles are important for both customers and vendors. Vendors can report false reviews to Shaadi Partners for verification. Shaadi Partners reserves the right to remove any review deemed inappropriate.

8. Account Termination

Shaadi Partners may terminate your use of the Shaadi Partners Services at its sole discretion, without notice or liability to you. Upon termination, all content posted by you will remain the property of Shaadi Partners.

9. Disclaimer of Warranties

The Shaadi Partners Services are provided on an "as is" and "as available" basis without representations or warranties of any kind. Shaadi Partners expressly disclaims all implied or statutory warranties to the maximum extent permitted by law, including implied warranties of title, non-infringement, merchantability, or fitness for a particular purpose.

10. Limitation of Liability

In no event shall Shaadi Partners be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit damages arising from your use of the Shaadi Partners Services, even if Shaadi Partners has been advised of the possibility of such damages.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Lucknow, India, for the resolution of any disputes arising out of or related to this Agreement or the Shaadi Partners Services.
